Please be informed of the following Terms and Conditions and the Privacy Policy (provide link), which jointly and severally constitute an agreement between you and IndArka Energy Pvt. Ltd. subsidiary of ARKA ENERGY, INC. (“the Company” or “We”) in respect of the use of our web platforms and mobile platforms (including website, mobile site, mobile application etc). By using our web and mobile platforms, you are consenting to the Terms and Conditions and the Privacy Policy (provide link) (“Agreement”) and are agreeing to be bound by it. Please note that this Agreement does not require signatures and by mere use of the web and mobile platforms and / or by clicking on the “I agree” button, you agree and consent to being bound by this Agreement.
By accessing, browsing, creating an account, or using our web and mobile platforms in any manner whatsoever, you are representing that you are an adult having the capacity to enter into this Agreement or that you are a minor acting with the knowledge and consent of your parent / legal guardian who is bound by the Agreement.
Any information furnished by you to the Company may be used by the Company and / or authorised third parties in accordance with the Privacy Policy.
You agree to update and maintain the information from time to time and as requested by the Company and / or authorised third parties. The web and mobile platforms and all content on the said platforms including images, photographs, literature, codes, articles, text of any kind, illustrations, video and audio recordings, logo, any copyrightable material, etc. are owned by or licenced to the Company and / or authorised third parties. All content generated or contributed by users or authorised third parties are also deemed to be assigned to the Company without limitation and deemed to be owned by the Company as its proprietary content. The Company may modify, add, change, amend or remove any content at any point of time at its sole discretion, without notice and without any liability whatsoever. Any unauthorised use or dissemination of any content on our web and mobile platforms is strictly prohibited and breach of this condition in any manner whatsoever shall amount to a grave breach of the Agreement, entitling the Company to impose penalty and / or damages. You agree and understand that it is your responsibility to know the laws of your country and make an informed decision on whether to use the services provided on our web and mobile platforms. Further, you understand and agree that you are responsible to determine the tax, cess, duty or charge of any nature or kind whatsoever and pay the same to appropriate authorities and the Company shall not be held liable to collect or remit the same. The Company shall not be responsible for any loss or damage that may occur by use of our web and mobile platforms or due to any change or clarification or modification of the law, be it of any nature whatsoever. You hereby waive all your rights to seek any kind of compensation, penalty, or damages from the Company. You are made aware that There is no cancellation option for the end users after payment is made. In case of duplicate payment, parent/student, you may approach admin or finance or accounts department (provide email) ([email protected]) for refund with proof of the transaction reference or your bank statement. If applicable, a refund will be processed within 10-15 working days, and respective payment gateway will send it to the issuing bank [user’s card banker] in batches for processing, which should approximately take 8-15 working days, depending on issuing banks policies. The Company reserves rights to modify, amend, alter, revise, or change in whole or in part, the Agreement, as it deems necessary, either prospectively or retrospectively. You agree that it shall be your obligation to peruse the Agreement from time to time, which shall be made available on our web and mobile platforms. You agree that no further notice is required to be provided by the Company, other than posting the revised Agreement on the web and mobile platforms. You may be required to register / sign up / create an account on the web and mobile platforms in order to gain access to a part or whole of the website. The Company or its authorised third parties, at the Company’s sole discretion, may or may not allow you to register / sign up / create an account and will require you to submit necessary documents for verification and may additionally require verification by other means such as audio or video calls, physical address verification etc. before you proceed to use the said platforms. If for any reason, the Company perceives risk of impersonation by you or apprehends that you may be indulging in illegal activities, the Company may, at its discretion, notify law enforcement officials or undertake any such measures that are deemed necessary by it in the interest of security. You hereby agree that you shall keep the Company indemnified against all consequences and / or losses of any nature whatsoever arising on account of your actions or inactions. You are solely responsible for maintaining the confidentiality of any password you may use to access the web and mobile platforms and any of its features, and you agree not to transfer your login credentials, or lend or otherwise transfer your use of or access to the said platforms, to any third party. You are fully responsible for all transactions and other interactions with the web and mobile platforms that occur in connection with your login credentials. You agree to immediately notify the Company of any unauthorized use of your login credentials or any other breach of security related to your account, your user name or the web and mobile platforms and to ensure that you “log off” and exit from your account with the platforms (if applicable) at the end of each session. The Company shall not be liable for any loss or damage arising from your failure to comply with the above. The Company may, at its discretion, have the right to block the web and mobile platforms or parts of it without prior notice. The web and mobile platforms are provided without warranties of any kind, either express or implied. The Company makes no representation or warranty as to the accuracy, reliability, timeliness, or completeness of any material on or accessible through the web and mobile platforms. Any reliance on or use of the content on the web and mobile platforms shall be at your sole risk. We take several measures to ensure that the access to the web and mobile platforms is uninterrupted, error free, secure, and free of viruses and to maintain the integrity, safety and security of the web and mobile platforms. We shall continue to take all reasonable measures to ensure the same. However, this shall not be construed as an obligation on the part of the Company. The Company shall in no way be held responsible / liable for any unauthorised third-party intrusions, hacking, alterations and theft on the web and mobile platforms. If you become aware of any suspicious, unauthorised activity on or in respect of the web and mobile platforms, please contact the Company immediately by sending an email to [email protected] “Force Majeure” events shall include all events that are beyond the reasonable control of the Company, and include events and occurrences such as earthquakes, floods, storms, war, civil unrest, riots, acts of terrorism, threats, civil commotion, fire, explosion, epidemic, hacking, attacks including through computer viruses, ransomware, theft of e-wallets, data breaches, attacks on the Company’s servers, phishing, fraudulent financial transactions over which the Company has no control, any interruptions with internet services or network provider services or any other disruptions, or any law, government action, regulation, by any court or of a regulatory authority and such other events. Please note that the Company shall not be liable for any loss, harm or damage which includes loss of money, that may occur due to any Force Majeure event and / or any other event of a similar nature and / or omissions and / or commissions of any third party, and / or your commissions and omissions, on which the Company has no control. The Company or its affiliates, subsidiaries, employees, representatives, directors, agents or authorised third parties shall, in no event, be liable for any indirect, incidental, special or consequential damages arising out of (a) this Agreement and / or the Privacy Policy, (b) the web and mobile platforms, (c) your use of or inability to use the web and mobile platforms, or (d) the acts or omissions of independent parties. The Company is not responsible for any unauthorized access to or alteration of your submissions, transmissions, or data or for any material or data sent or received or not sent or not received. The Company is not responsible or liable for any illegal content or conduct of any other party, or any defamatory or threatening or obscene or offensive content or any infringement by a third party of another's intellectual property, privacy, or other rights. You agree that any content downloaded or otherwise obtained by you through the use of the web and mobile platforms is done at your own risk and that you will be solely responsible for any damage done to your computer system or loss of data that results from the download of such content. Without prejudice to the above, in no event shall the Company’s total liability to you for any damages, losses and causes of action (whether in contract, tort or otherwise) arising from or related to this Agreement, the Privacy Policy, the web and mobile platforms, or your use of or inability to use the web and mobile platforms exceed the amount paid by you, if any, for using or accessing the web and mobile platforms. You hereby indemnify the Company in respect of any claims, demands, damage, causes of action, costs and expenses including legal fees arising from or related to any of the following: (a) your use, inability to use, or activities or transactions in connection with the web and mobile platforms or the Company; (b) any violation of this Agreement or Privacy Policy by you or through any account you may have with the Company. You agree that the Company may, at its sole discretion, terminate your access to or use of the web and mobile platforms, at any time and for any reason, including if the Company believes that you have violated or acted inconsistently with the terms of this Agreement or of any law or policy. You agree that any termination of your access to or use of the web and mobile platforms may be effected without prior notice and that the Company may immediately deactivate your account or delete any user name and/or password used by or provided to you, and all related information and files associated therewith, and/or bar any further access to such information or files. The Company shall not be liable for any termination of your access to the web and mobile platforms or to any related information, neither to you nor to any third party, and shall not be obligated to make such information available to you after any such termination. This Agreement shall be governed by the laws of India. You agree that any dispute or claim arising out of or relating to the Company or this Agreement or the Privacy Policy shall be resolved by way of arbitration and the same shall be governed by the Arbitration and Conciliation Act, 1996 and any amendments thereof. The arbitration proceedings shall be before a sole Arbitrator and the Company alone shall have the right to nominate and appoint the Arbitrator. The courts in Bengaluru, Karnataka, India shall alone have jurisdiction and you hereby consent and submit to the jurisdiction of such courts.
